신용장(Letter of Credit, L/C)의 통일 규칙(UCP500)에 적용된 글귀 중 제가 자주 읽는 부분을 정리하려고 합니다.
현 글이 도움이 되시는 분도 있고 알고 계시는 분도 있겠지만, 신용장(Letter of Credit, L/C))로 거래를 할 경우에 가끔 확인하는 조항 들입니다… 대학교때는 보지도 않던 UCP500이 실무 들어와서 열심히 보게 되네요… 한글 뜻 해석이 이해가 가지 않으면 영어로도 볼 정도니까요.. 은행과 바이어와 말할 때 자주 확인 하는 문구들을 모와 봤어요~~ 번역은 우리은행 신용장(Letter of Credit, L/C) 통일 규칙(UCP500)에서 참고를 한 것이고, 조항들을 간추린 것은 실무 시에 필요한 문구만 제가 나중에 보기 위해서 정리한 것입니다.
현 부분은 UCP 500의 신용장(Letter of Credit, L/C) 적용, 정의, 계약에 관한 내용을 정리 하였습니다.
[제1조] 신용장통일규칙의 적용
국제상업회의소 간행물 제500호에 의한 1993년도 개정 화환신용장 통일규칙 및 관행은 모든 화환신용장(적용 가능한 범위 내에서 스텐드바이신용장을 포함한다)에 적용되며 이를 신용장 본문에 표시하여야 한다. 이 규칙은 신용장에 달리 명시하지 않는 한 신용장의 모든 관계당사자를 구속한다.
The Uniform Customs and Practice for Documentary Credits, 1993 Revision, ICC Publication N0. 500, shall apply to all Documentary Credits (including to the extent to which they may be applicable, Standby Letter(s) of Credit) where they are incorporated into the text of the Credit. They are binding on all parties thereto, unless otherwise expressly stipulated in the Credit.
[제2조] 신용장의 정의
이 규칙에서 "화환신용장" 및 " 스텐드바이 신용장" (이하 신용장이라 칭한다)이란 그 명칭이나 표현에 관계없이 고객(개설의뢰인)의 요청과 지시에 따라서 또는 그 자신을 위해서 행동한 은행(개설은행)이 신용장 조건이 충족되었을 때 지정한 서류와 상환(相換)하여,
ⅰ. 제3자(수익자) 또는 그 지시인에게 지급하거나 수익자가 발행한 환어음을 인수 또는 지급하거나 또는
ⅱ. 다른 은행에게 그러한 지급을 하도록 하거나 그러한 환어음을 인수 또는 지급하도록 권한을 부여하거나 또는
ⅲ. 다른 은행에게 매입하도록 권한을 부여하는 약정을 의미한다.
이 규칙에서 어느 은행의 다른 나라에 있는 지점은 다른 은행으로 간주한다.
For the purposes of these Articles, the expressions 'Documentary 'Credit(s)' and 'Standby Letter(s) of Credit (hereinafter referred to as 'Credit(s)'), mean any arrangement, however named or described, whereby a bank (the 'Issuing Bank') acting at the request and on the instruction of a customer (the 'Applicant') or on its own behalf,
i. is to make a payment to or to the order of a third party (the ' Beneficiary'), or is to accept and pay bills of exchange (Draft(s)) drawn by the Beneficiary, or
ii. authorises another bank to effect such payment, or to accept and pay such bills of exchange (Draft(s)), or
iii. authorises another bank to negotiate,
against stipulated document(s), provided that the terms and conditions of the Credit are complied with.
For the purposes of these Articles, branches of a bank in different countries are considered another bank.
[제3조] 신용장과 계약
a. 신용장은 그 성질상 매매계약 또는 기타 계약에 그 근거를 두고 있더라도 이와는 별개의 거래이며, 은행은 신용장에 그러한 계약에 관한 어떠한 언급이 포함되더라도 그러한 계약과는 아무런 관계가 없으며 또한 구속되지 않는다. 따라서 신용장에 의하여 은행이 하는 지급, 환어음의 인수 및 지급 또는 매입 그리고 다른 모든 의무 이행은 개설은행과 개설의뢰인 또는 수익자와 개설의뢰인과의 관계에서 일어난 개설의뢰인에 의한 클레임이나 항변의 구속을 받지 않는다.
b. 수익자는 어떠한 경우에도 은행상호간 또는 개설의뢰인과 개설은행 간의 계약관계를 원용할 수 없다.
a. Credits, by their nature, are separate transactions from the sales of other contract(s) on which they may be based and banks are in no way concerned with or bound by such contract(s), even if any reference whatsoever to such contract(s) is included in the Credit. Consequently, the undertaking of a bank to pay, accept and pay Draft(s) or negotiate and/or to fulfil any other obligation under the Credit, is not subject to claims or defences by the Applicant resulting from his relationships with the Issuing Bank or the Beneficiary.
b. A Beneficiary can in no case avail himself of the contractual relationships existing between the banks or between the Applicant and the Issuing Bank.
